Agreement to our legal terms

We are Split Labs LLC, operating the Playbook API service (“Playbook API,” “Company,” “we,” “us,” or “our”).

We operate the website playbook-api.com, the API endpoint(s) at api.playbook-api.com, any associated dashboards, documentation, client libraries, or developer tools (collectively, the “Services”).

You can contact us by email at support@playbook-api.com.

These Terms of Service (these “Legal Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Split Labs LLC, concerning your access to and use of the Services. By accessing or using any part of Playbook API (including obtaining or using an API key), you agree that you have read, understood, and agree to be bound by all of these Legal Terms.

IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, YOU ARE EXPRESSLY PROHIBITED FROM ACCESSING OR USING THE SERVICES, INCLUDING THE API, AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms expressly identified and made available to you, including any applicable plan-specific terms or published usage documentation, are incorporated by reference. We may update these Legal Terms and will indicate changes by updating the “Last updated” date. For paid customers, we will make commercially reasonable efforts to give at least 30 days’ advance email notice of material changes, except where a shorter period is reasonably necessary for legal, security, technical, or third-party source reasons. Continued use after changes take effect constitutes acceptance of the updated terms.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

We recommend that you print or save a copy of these Legal Terms for your records.

1. Our Services

Playbook API provides programmatic access to certain sports-related information, including but not limited to odds, public betting splits, injury and availability reports, player and team statistics, roster and reserve-list transactions, and related metadata, for integration into your applications, tools, or services (“API Data”). We may also provide web dashboards, documentation, and other developer resources.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

You acknowledge that:

  • Playbook API does not place bets, hold funds, or operate as a sportsbook, casino, or gambling operator.
  • API Data may be sourced from third-party providers and may change, be delayed, or be unavailable at any time.
  • We may, in our discretion, restrict or prohibit certain use cases, including uses that directly compete with Playbook API or that we deem high-risk, non-compliant, or harmful.

The Services are not tailored to comply with industry-specific regulations (e.g., HIPAA, FISMA, GLBA). If your interactions would be subject to such laws, you may not use the Services in a way that would subject us to those regimes.

2. Intellectual Property Rights

Our intellectual property

Split Labs LLC retains its rights in the proprietary software, documentation, technology, interfaces, website and dashboard designs, and original selection, arrangement, and formatting of data constituting the Services (collectively, the “Content”), to the extent protected by applicable law. The trademarks, service marks, and logos associated with the Services are the “Marks”. Certain API Data incorporates information obtained from publicly available and third-party sources. We do not claim ownership of underlying third-party intellectual property. Nothing in these Legal Terms grants rights beyond those Split Labs LLC is authorized to provide.

Our proprietary Content and Marks may be protected by copyright, trademark, and other applicable laws. No ownership of our proprietary Content or Marks is transferred to you. Permitted use of API Data and Derived Data is described below and remains subject to applicable third-party rights and restrictions.

Your use of our Services

Subject to your plan, your compliance with these Legal Terms (including the “PROHIBITED ACTIVITIES” section), and rights we are authorized to grant, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • access and use the Services and associated documentation; and
  • call the API using valid credentials and use, analyze, cache as reasonably necessary, and display API Data and Derived Data in your own applications, dashboards, and services, including paid, subscription-based, and other customer-facing applications and their end users, subject to applicable rate limits, plan restrictions, usage guidelines, and third-party rights.

Derived Data means analyses, models, probabilities, projections, visualizations, and other independently generated outputs that do not reproduce API Data in substantially raw form. Permission to display Derived Data does not confer any additional rights in underlying third-party data.

Except as expressly permitted in these Legal Terms, you may not:

  • except for the permitted application uses expressly described above, copy, reproduce, republish, transmit, distribute, sell, sublicense, or otherwise commercially exploit our proprietary Services, Content, or Marks without authorization;
  • bulk-download, scrape, or systematically export API Data to create a standalone raw data feed or a substitute for our Services; reasonable caching and storage necessary to operate your permitted applications or preserve authorized historical analyses are not prohibited;
  • use the Services to build or train a competing sports data API, or any product or service whose primary function is to provide substantially similar odds/splits feeds in direct competition with Playbook API;
  • resell, sublicense, or redistribute API Data on a stand-alone basis or as a generic data feed, except as permitted in writing by us.

If you wish to make any use of the Services, Content, Marks, or API Data other than as set out in these Legal Terms, please contact us at support@playbook-api.com.

We reserve all rights we lawfully possess that are not expressly granted in these Legal Terms. Any breach of these intellectual property provisions will constitute a material breach of our Legal Terms and will result in automatic termination of your right to use the Services.

Your submissions

Please review this section and the “PROHIBITED ACTIVITIES” section carefully prior to using our Services to understand (a) the rights you give us and (b) the obligations you have when you send us any information.

Submissions: By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services (“Submissions”), you agree to assign to us all intellectual property rights in such Submissions. You agree that we shall own these Submissions and be entitled to their unrestricted use and dissemination for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

You are responsible for what you send: By sending us Submissions through any part of the Services you:

  • confirm that you have read and agree with our “PROHIBITED ACTIVITIES” and will not submit any Submission that is illegal, harassing, hateful, harmful, defamatory, obscene, abusive, discriminatory, threatening, sexually explicit, false, inaccurate, deceitful, or misleading;
  • to the extent permissible by applicable law, waive any and all moral rights to any such Submission;
  • warrant that any such Submission is original to you or that you have the necessary rights and licenses to submit such Submission and grant us the rights described above; and
  • warrant and represent that your Submission does not constitute confidential information.

You are solely responsible for your Submissions and you expressly agree to reimburse us for any and all losses that we may suffer because of your breach of this section, any third party’s intellectual property rights, or applicable law.

3. User Representations

By using the Services, you represent and warrant that:

  • all registration information you submit will be true, accurate, current, and complete;
  • you will maintain the accuracy of such information and promptly update it as necessary;
  • you have the legal capacity and you agree to comply with these Legal Terms;
  • you are not a minor in the jurisdiction in which you reside;
  • you will not access the Services through automated or non-human means, other than legitimate API calls made by your applications using valid credentials as permitted by these Legal Terms;
  • you will not use the Services for any illegal or unauthorized purpose;
  • your use of the Services will not violate any applicable law or regulation; and
  • if your use relates to gambling or sports betting, you will only use the Services where such activities are legal, and in compliance with all applicable regulations and any third-party terms (e.g., sportsbook terms of use).

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and API access and refuse any and all current or future use of the Services (or any portion thereof).

4. User Registration and API Credentials

You may be required to register an account and/or obtain an API key or token (“API Credentials”) to use the Services. You agree to:

  • keep your password and API Credentials confidential and secure;
  • implement reasonable access controls within your systems to protect those credentials;
  • notify us immediately if you suspect any unauthorized use or compromise of your account or API Credentials; and
  • be responsible for all use of your account and API Credentials, including any usage, overages, or charges incurred by your applications or anyone using your credentials.

We reserve the right to remove, reclaim, or change a username or account identifier you select if we determine, in our sole discretion, that such identifier is inappropriate, obscene, misleading, infringes on rights, or is otherwise objectionable.

5. Purchases and Payment

Access to some or all of the Services may require payment of fees (for example, API subscription plans or usage-based charges). We may use third-party payment processors (such as Stripe) to process payments on our behalf.

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed.

Fees and any applicable taxes will be charged in US dollars (USD) unless otherwise stated. We may change prices for plans, tiers, or usage at any time, subject to any notice requirements under applicable law or under the “SUBSCRIPTIONS AND USAGE LIMITS” section below.

You agree to pay all charges at the prices then in effect for your selected plan, usage, or add-ons, and you authorize us (and our payment processors) to charge your chosen payment method for any such amounts.

We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

6. Subscriptions and Usage Limits

Billing and Renewal

Your subscription to Playbook API (if applicable) will continue and automatically renew unless canceled in accordance with these Legal Terms. You consent to our charging your payment method on a recurring basis (monthly, annually, or as otherwise stated in your plan) without requiring your prior approval for each recurring charge, until such time as you cancel.

Usage Limits

Your plan may include rate limits, monthly request quotas, concurrency caps, or other usage restrictions (“Usage Limits”). We may enforce Usage Limits by throttling or rejecting requests that exceed your plan. Requests above your included monthly quota are rejected unless you affirmatively enable paid overages where available. Enabled overages are charged at the rates disclosed when you opt in.

We may, but are not required to, provide dashboards, headers, or other tooling to help you monitor your API usage. You are ultimately responsible for designing your integrations to respect your plan’s Usage Limits.

Free Plan

Where offered, the Free plan requires no payment method and does not automatically convert into a paid subscription. Charges begin only when you affirmatively purchase a paid plan.

Free Trial

We may offer a free trial or promotional access to new users. If we do, the applicable terms (such as duration or quotas) will be described at sign-up. A promotional trial will not convert into a paid subscription unless you affirmatively agree to the paid plan and its disclosed recurring charges.

Cancellation

You can cancel your subscription at any time by logging into your account and following the cancellation instructions in your dashboard or billing portal. Your cancellation will take effect at the end of the current paid term, and you will remain responsible for all charges and usage incurred through that date.

Fee Changes

We may, from time to time, change the subscription or usage fees for the Services. Unless otherwise required by law, any price change will become effective at the start of your next billing period following notice to you. Your continued use of the Services after the effective date of the fee change constitutes your agreement to the new fees.

7. Refund Policy

All fees and charges are non-refundable, except where required by applicable law or if we explicitly state otherwise for a particular promotion. You are responsible for canceling your subscription in advance if you do not wish to be charged for the next billing period.

8. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available and as permitted under these Legal Terms and applicable law.

As a user of the Services, you agree not to:

  • systematically scrape or extract API Data to build a standalone dataset, bulk redistribution service, or competing raw data product without our express written permission. Reasonable caching or storage for operation of a permitted application, statistical calibration, or authorized historical analysis is allowed subject to Section 2 and applicable third-party rights;
  • use the Services to build, operate, or train a competing sports data API, odds/splits feed, or substantially similar data service that directly competes with Playbook API;
  • resell, sublicense, or provide API Data to third parties on a stand-alone basis (i.e., as raw data or feeds) without our prior written consent;
  • trick, defraud, or mislead us or other users, especially in any attempt to learn sensitive account information such as passwords or API keys;
  • circumvent, disable, or otherwise interfere with security-related features of the Services, including rate limiters, authentication, or access controls;
  • use the Services in violation of any applicable law or regulation, including any laws related to gambling, gaming, or consumer protection in your or your users’ jurisdictions;
  • integrate or use the Services in violation of any third-party terms, such as sportsbook or data provider terms, where applicable to you;
  • upload to, or transmit via, the Services any viruses, Trojan horses, or other material that interferes with any party’s uninterrupted use and enjoyment of the Services;
  • attempt to bypass any measures of the Services designed to prevent or restrict access, including any hard usage caps or plan restrictions;
  • copy or adapt the Services’ software, including but not limited to HTML, JavaScript, or other code, except as expressly allowed in our documentation (e.g., client libraries we provide under specific licenses);
  • decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Services, except as permitted by applicable law;
  • use the Services as part of any high-risk system where a failure of the Services could lead to death, personal injury, or severe property or environmental damage;
  • use the Services in a way that could damage, disable, overburden, or impair our infrastructure or that of our providers;
  • harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Services to you;
  • make any unauthorized use of the Services, including collecting usernames and/or email addresses by electronic or other means for the purpose of sending unsolicited email;
  • use the Services for any activity that we reasonably deem to be abusive, fraudulent, or harmful to our business, reputation, or other users.

9. User Generated Contributions

The Services are primarily intended for programmatic access to API Data and do not provide general public posting or social networking features for end users. You may send us Submissions (as defined above), and you may transmit data to and from the API as part of your integration, but the Services do not offer public “user content” posting as a core feature.

10. Contribution License

You and the Services agree that we may access, store, process, and use any information and personal data that you provide and your choices (including settings) in accordance with our Privacy Policy.

By submitting suggestions, feedback, or other Submissions regarding the Services, you agree that we can use and share such feedback for any purpose without compensation to you.

11. Third-Party Websites and Content

The Services may contain links to other websites (“Third-Party Websites”) as well as content or data originating from third parties (“Third-Party Content”). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Services or any Third-Party Content accessed via the Services.

If you decide to access Third-Party Websites or use Third-Party Content, you do so at your own risk and are subject to the terms and policies of those third parties. We do not endorse the products or services offered on Third-Party Websites and you agree to hold us harmless from any harm arising from your interactions with such third parties.

12. Services Management

We reserve the right, but not the obligation, to:

  • monitor the Services for violations of these Legal Terms;
  • take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including by reporting such user to law enforcement authorities;
  • in our sole discretion and without limitation, restrict access to or disable any account, API Credentials, or integration we believe is violating these Legal Terms;
  • remove from the Services or otherwise disable all files and content that are excessive in size or burdensome to our systems; and
  • otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

13. Privacy Policy

We care about data privacy and security. By using the Services, you agree to be bound by our Privacy Policy posted on the Services, which is incorporated into these Legal Terms. Please be advised the Services are hosted in the United States. If you access the Services from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United States, then through your continued use of the Services, you are transferring your data to the United States, and you expressly consent to have your data transferred to and processed in the United States.

14. Term and Termination

These Legal Terms shall remain in full force and effect while you use the Services.

WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES OR REVOKING API CREDENTIALS), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION.

We may terminate your use or participation in the Services or delete your account and any content or information that you posted at any time, without warning, in our sole discretion.

Effect of Termination and Historical Retention

When your subscription or access ends, your right to make new API calls ends. You may retain Derived Data and minimal provenance records associated with analyses produced while you held valid access (such as player identifiers, dates, data-source descriptions, and applicable timestamps). You may also retain previously obtained API Data to the extent reasonably necessary for historical research and model calibration, but only where applicable third-party rights permit such retention. Retained records may not be offered as a standalone dataset, competing API, or raw data feed, and may not be used to reconstruct a substitute for ongoing Playbook API access. Public-facing displays of retained API Data following subscription termination must attribute Playbook API; separate upstream attribution requirements continue to apply whether or not you subscribe. Your rights to retain or use third-party data are limited to rights we are authorized to grant. Sections concerning intellectual property, prohibited redistribution, historical retention, governing law, dispute resolution, disclaimers, limitations of liability, and indemnification survive termination to the extent applicable.

15. Modifications and Interruptions

We may modify, remove, or discontinue the Services, including API endpoints, fields, and behaviors. For planned material API changes or deprecations affecting paid customers, we will make commercially reasonable efforts to provide at least 30 days’ advance email notice. Shorter notice may be necessary for security, legal, technical, or third-party source disruptions; in those cases we will communicate as soon as reasonably practicable. No particular uptime or notice period is guaranteed unless stated in an applicable written agreement.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance.

16. Governing Law

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.

17. Dispute Resolution

Any legal action of whatever nature brought by either you or us (collectively, the “Parties” and individually, a “Party”) shall be commenced or prosecuted in the state or federal courts located in the State of New Jersey, United States, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such courts.

Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Legal Terms.

18. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

19. Disclaimer

THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT:

  • THE ACCURACY OR COMPLETENESS OF ANY API DATA OR CONTENT;
  • THE CONTINUOUS AVAILABILITY OR PERFORMANCE OF ANY ENDPOINT OR FEATURE;
  • ANY PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICES;
  • ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN;
  • ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES;
  • ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE TRANSMITTED TO OR THROUGH THE SERVICES; OR
  • ANY ERRORS OR OMISSIONS IN ANY CONTENT OR DATA, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT OR DATA MADE AVAILABLE VIA THE SERVICES.

DATA PROVIDED VIA PLAYBOOK API IS FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE BETTING ADVICE, FINANCIAL ADVICE, OR AN OFFER TO ENGAGE IN GAMBLING. YOU ARE SOLELY RESPONSIBLE FOR ANY BETS OR FINANCIAL DECISIONS YOU MAKE.

20. Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR ACCESS TO THE SERVICES DURING THE SIX (6) MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

CERTAIN LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

21. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of:

  • your use of the Services or API Data;
  • your breach of these Legal Terms;
  • any breach of your representations and warranties set forth in these Legal Terms;
  • your violation of the rights of a third party, including intellectual property rights; or
  • any overt harmful act by you toward any other user or third party.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims.

22. User Data

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, usage tracking, billing, and related operations. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services.

You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

23. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending us emails, signing up for an account, using the dashboard, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing.

YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

24. California Users and Residents

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210 or (916) 445-1254.

25. Miscellaneous

These Legal Terms and any policies or operating rules posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision.

These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control.

If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions.

There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms or use of the Services. You agree that these Legal Terms will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Legal Terms and the lack of signing by the parties hereto to execute these Legal Terms.
